Gambling England advertising platform conditions of use
The GAMBLING MEDIA INC runs and manages an online games' advirtising platform on the internet: GAMBLING England. below mentioned "GE". It offers to its affiliates members to display ad-campaign on their web sites with the means of hypertext links, granted with a commission. To access to the ad- campaigns proposed by announcers, the members will beforehand have filled the form of membership in the platform. The membership in the platform of GE triggers the full and whole acceptance of the conditions described below. The electronic signature of the form establishes the recognition by the members of the proof of their acceptance.
Definitions
For the needs of the present conditions, the following terms were defined:
  • Announcer : natural or legal entity which pays a Webmaster (publisher)((editor)) according to an advertising action(share) on his web site, this action(share) being able to be translated by displays(postings), reroutings towards his own site, registrations(inscriptions) of players, etc.
  • Affilié / Editeur  : natural or legal entity owner (and person in charge) of a Web site, which wishes to pay its site thanks to the exploitation(operation) of its traffic and various advertising spaces.

  • Ad-Campaigns : all the commercials created by an announcer. A campaign gathers several advertisements sizes, such as banners, links texts, etc.

OBJECT
The current platform conditions of use aimt to define the contractual relations between the parts, the terms and the conditions of membership and use of the platform. They can be completed by particular conditions.
Affiliates duties
To become a member of GE' affiliate platform, the webmaster whether he(it) is natural or legal entity must:
  • Fill in beforehand the registration form available on-line,
  • Agree the present General Conditions by clicking the icon " I agree "
  • Major being major for the physical persons
  • Make a commitment to respect the English regulations in on-line gaming
  • Use ethical and legal promotional practices
The affiliated Web site'owner declares and guarantees GE that he proceeded or that he will proceed, at his expenses and under his only responsibility, to all the administrative procedures concerning him(it) (including with the tax authorities) whIch could be necessary because of the present membership.
Besides, it is specified that it belongs to the member to make sure, at its expenses and under its only responsibility, with its hoster which he(it) has the right to create links with an online gaming ad-platform. The member guarantees GE against any appeal managed against this last one as such.
Furthermore, this last one declares and guarantees GE he holds on texts and\or iconographies affixed on the pages of his site all the rights necessary for their broadcasting on Internet, and in such way in what as GE won't searched in no way as such whatever third party it is.
The Publisher is responsible for all the use and the activity on his account.
ACCEPTANCE CONDITIONS BY GE
GE reserves the right to reject, in a discretionary way, any request of membership, without having to prove this decision.It will be a question, in particular sites of which the contents:
- Would strike a blow at the image, at the reputation or at the commercial policy of GE or the announcer;
- Would be not corresponding to the current laws and regulations and to the rights of the third parties;
- Among which the legal frame, the legal responsible in charge and the mail and electronic addresses would not clearly be identified.GE is the only decision-making of the sites which it retains and sites the application of which it rejects, without possible appeal nor compensations whatever nature that it is.
GE will send its answer to each of the candidates, by mail or email.
It is specified that the present membership will be effective only from the sending by GF of an e-mail of acceptance of the application of the affiliated site.
Every subscriber will have an open account to its name on the GE platform.
PARTICIPATION IN THE PARTNER PROGRAMS
When the member candidacy has been accepted by GE,then this one can consult the description of the various campaigns proposed by the announcers as well as the conditions of access, the modalities of payment and apply for it. The promotion of the site of the announcer can only be made with the content given on the platform and is exclusive of quite other shape (electronic messages, spam, newsgroup, networks of banners, etc.). The announcer can in a discretionary way decide to end its advertising campaign without the member can complain and ask for compensations.
Also he can ask to end the collaboration with the Editor in case of violation of one of the obligations of the member being able to carry it damage.
SERVICES OF GE
GE assumes the management's tasks and transactions' measures generated by the member' site towards the announcer' site.
The GE' software records each of the operations (views, visit, form, purchase) made with the announcer by a visitor from the member'site, and calculate the amount of commissions owed consequently to the member.
The recordings are available for consultation by the member on the site of GE in the account which has been opened in his name during the registration.
GE will pay the member for every transaction according to the campaign payment's type for the campaign.
For that purpose the affiliate mandate to GE to emit an invoice for his own account. The current VAT rate of current will be added to the sum mentioned if necessary.
An invoice in the PDF format will be available on the platform with informative title.
The technical support of GE platform is realized by an online help based on a ticket system.
REVENUES - INVOICING - PAYMENT
The member is paid according the conditions fixed in the description of the advertising campaigns of the announcers applied and whose affiliates have been retained.
The payment of accumulated payment's amounts will be made each month since the Member will have generated a traffic of at least 300 euro and when GE will have received complete payment of the announcer.
If the due accumulated commissions amount does not reach this threshold, it will automatically be put back over the next month. The accumulated amounts will not give the right to the payment of an interest.
The payment will be directly made by bank wire transfer on the account determined by the Publisher on the platform: bank account or Paypal.
Inactive accounts: if no valid and definitive transaction was credited at the affiliate account during a period of six consecutive civil months, GE will be able to deactivate the account of the member.
FRAUDS - ABUSES
Any shape of misuse leads to an immediate blocking of the account. In defect explanation from the member, the account will be the object of a termination for fault in the conditions described below and will give rise to no payment.
By misuse, it is agreed that any development of artificial traffic towards linked sites, including the business obtaining thanks to unfair methods or illicit means, which strike a blow at the current law, at these general conditions, at the possible additional conditions of participation, without prior authorization expressly written of the announcer.
By use of advertising forms allowing certainly the tracking but without showing the advertising medium, without showing it in a perceptible way or without showing it in the shape and\or the dimension predefined by the announcer; or use of terms protected in favour of the announcer or of the third party, in particular by rights of the brands, for example in search engines, during the insertions of announcements or the publicity on the advertising surface without prior authorization expressly written of the announcer.
COPYRIGHT
The Publisher epressly recognizes that he becomes a holder by the present Contract of no property right or license than the rights to use the links towards connected sites in the conditions of the present.
CONFIDENTIALITY
The collected data concerning the Members will be, for necessities of management, recorded and kept in GE computing memory, except express opposition of the Member. These data will be used only within the framework of the commercial and contractual relation with the Member and the Announcer and can be on no account communicated with third parties.
RESPONSIBILITY
The GE's responsibility would not to be charged for the contents of the Web sites of its members, the damage and the other breakdowns basing itself on the imperfection or the incompatibility of software or materials of the subscribing member, as well as damage which would be caused due to of a lack of availability or to a way of functioning of internet.
Also the contents, the implementation, the management, the duration, the modifications of campaigns registered on the platform are defined under the only responsibility of the Announcer and the responsibility of GE would not be charged for such.
The global responsibility of GE would not exceed 100 % of the total of the payable royalties in conformance with the present conditions.
DURATION - TERMINATION - DEACTIVATIONS
The present Contract comes into effect from the indication by GE of the meaning of its membership to the member for indefinite duration and will remain current until its termination according to the present.
Each of the Parties can cancel the present Contract with an advance notice of 15 days by e-mail at the following address: contact@gambling-england.com or by mail recommended in the head office of GE. From the termination of the Contract, GF will have a extension of 60 days to establish the balance of the account of the Member and make the due payments.
In every case of the end of relation, the member makes a commitment to remove of his site all the links and the graphic or other elements belonging to GE and\or to the announcers, the elements on which the member has only a right of user limited to the execution of the programs of membership.
TRANSFER - TRANSMISSION OF the CONTRACT
The Member cannot pass on, give in guarantee to a third party or give up all or any of his rights and duties resulting from the present agreement without the written authorization prerequisite of GE.
MISCELLANEOUS
If the one some of the conditions of the present conditions turned out useless towards a current legal rule or towards a court order become definitive, it would be considered then not written, without pulling the nullity of the present, nor altering the validity of its other measures.
Besides, GE reserves the right to modify, at any time and by rights, all or any present general conditions; affiliates will be informed about the modification and can make known to GE, by every possible means to its suitability and within 8 days, its acceptance or its refusal of the modification. At the expiration of this extension, the sharpened will be presumed to have accepted and all the modifications will be by rights applicable .
APPLICABLE LAW - DISPUTES
The Uk law is applicable to the present contract. The competent courts of the defendant will have exclusive competence to know possible difficulties directly or indirectly linked to the interpretation of the present conditions.
